1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and RepFolio ("RepFolio," "we," "us," or "our"), governing your access to and use of the RepFolio website, mobile application, and related services (the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years old to use the Service. You represent that you have the legal capacity to enter into this agreement and are not prohibited from using the Service under applicable law.

3. Account Registration and Security

You agree to provide accurate registration information, maintain the security of your account credentials, and notify us promptly of any unauthorized account use. You are responsible for all activity under your account.

4. Description of Service

RepFolio provides tools to document, track, analyze, and present your professional sales career history. The Service is intended as a personal career documentation tool. RepFolio is not a CRM, an employer-provided sales tool, or a replacement for any official business records system.

5. Service Tiers

Free Tier: Offered at no cost in exchange for (a) display of advertisements within the Service and (b) contribution of your anonymized, aggregated career data to benchmark statistics shown to all users (see Privacy Policy for details).

Pro Tier ($10/month): Ad-free experience, full data privacy (your data does not contribute to benchmarks unless separately opted in), priority support, and access to additional features.

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel anytime through account settings. Refunds are issued at our discretion. We may change pricing with 30 days' notice.

6. User Content and Ownership

You own your data. You retain all ownership rights to the deals, career history, jobs, notes, references, and any other information you input ("User Content").

By submitting User Content, you grant RepFolio a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely for the purpose of operating and improving the Service for you.

This license does NOT permit RepFolio to:

• Sell your individual User Content to any third party
• Share your individual User Content with your current or past employers
• Disclose your individually identifiable User Content to recruiters, consultants, or other third parties without your explicit consent
• Use your User Content for purposes outside of providing the Service to you

7. Free Tier Benchmark Data

If you use the Free Tier, you grant RepFolio the right to incorporate your User Content into anonymized, aggregated statistical datasets ("Benchmark Data") used to display industry-wide trends to all users. Benchmark Data uses k-anonymity techniques to ensure no individual user can be identified. Specific deal names, product names, customer names, and free-text fields are never included. You may upgrade to Pro Tier at any time to opt out of Benchmark Data contribution going forward.

8. Your Responsibilities

You represent and warrant that:

• You have the right to submit your User Content to the Service
• Your User Content does not violate any agreement you have with your current or former employer (including non-disclosure or confidentiality agreements)
• Your User Content does not contain personally identifiable information about third parties unless you have the right to record such information for personal career documentation purposes

You are solely responsible for ensuring that your use of RepFolio does not violate any contractual or legal obligations you have to your employer.

9. Acceptable Use

You agree NOT to: use the Service for unlawful purposes; submit content that violates third-party rights; submit confidential or proprietary employer information without authorization; attempt unauthorized access to the Service or other accounts; use automated tools to scrape data; reverse engineer the Service; harass or harm others; impersonate any person; or submit false information with intent to defraud.

10. Intellectual Property

The Service, including its software, design, branding, logos, and related intellectual property, is owned by RepFolio and protected by applicable laws. "RepFolio" is a trademark of RepFolio. You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted.

11. Termination

You may terminate your account at any time through your account settings. Upon termination, we will delete your User Content within 30 days, except where retention is required by law.

We may suspend or terminate your account for violation of these Terms, fraudulent or abusive behavior, or unpaid balances on Pro Tier subscriptions.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RepFolio does not warrant that the Service will be uninterrupted, error-free, or secure. The Service is a personal documentation tool. It is not a substitute for legal, financial, career, or employment advice.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RepFolio's total cumulative liability to you for all claims arising from or relating to the Service will not exceed the greater of: (a) the amount you paid to RepFolio in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100). RepFolio will not be liable for indirect, incidental, special, consequential, or punitive damages.

14. Indemnification

You agree to indemnify and hold harmless RepFolio from any claims arising from your use of the Service, your violation of these Terms, your violation of third-party rights (including any agreement with your employer), or your User Content.

15. Dispute Resolution

Informal Resolution: Before filing any claim, you agree to attempt informal resolution by contacting support@repfolio.ai. We will work in good faith to resolve disputes within 60 days.

Binding Arbitration: Any dispute not resolved informally shall be resolved through binding arbitration under applicable rules. [Final arbitration terms pending attorney review.]

Class Action Waiver: You agree to bring claims only in your individual capacity, not as part of any class action or representative proceeding.

Small Claims Exception: Either party may bring an individual claim in small claims court instead of arbitration.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email and in-Service notice at least 30 days before taking effect. Your continued use after the effective date constitutes acceptance.

17. Acquisition

If RepFolio is acquired, merges with another company, or sells its assets, we will notify users at least 30 days in advance and provide an opportunity to delete your account before any data transfer. Any successor entity will be bound by these Terms or offer comparable protections.

18. Miscellaneous

These Terms (with the Privacy Policy) constitute the entire agreement between you and RepFolio. If any provision is held unenforceable, the remaining provisions remain in effect. We may assign these Terms in connection with a merger or acquisition; you may not assign them.

1. Information We Collect

Information you provide:

• Account info: name, email, password (hashed), profile details
• Career data: job history, role, company, quota, commission rates, industry
• Deal data: deal names, values, types, stages, dates, notes, commission calculations
• Optional: photos, references, STAR stories, performance review notes, custom goals
• Payment info: processed by Stripe (we never store full credit card numbers)

Information collected automatically:

• Device and usage data (IP address, browser type, pages visited, timestamps)
• Cookies for authentication, preferences, and analytics

Information we do NOT collect:

• Customer or client lists from your employer
• Third-party contact details (unless you choose to add references)
• Data from your CRM or other employer systems (unless you manually enter it)

2. How We Use Your Information

We use your information to:

• Provide, maintain, and improve the Service
• Authenticate your account and process payments
• Generate your personal career analytics, milestones, and reports
• Send service-related communications (account notices, security alerts, billing)
• Send optional product updates (you can opt out anytime)
• Detect and prevent fraud, abuse, or security incidents
• Comply with legal obligations

3. Aggregated Benchmark Data (Free Tier Only)

If you use the Free Tier, your career data contributes to anonymized aggregate statistics shared with all users.

What's INCLUDED in benchmarks: deal counts, win rates, average deal sizes by industry/role, quota attainment percentages, career length and tenure averages, promotion timing patterns.

What's NEVER included: your name or any direct identifier, specific deal names, product names, customer information, company names you've worked for, any free-text fields you've written.

How we anonymize: We apply k-anonymity (each data point grouped with at least 10 similar users), use noise-addition techniques to prevent re-identification, and aggregate at the level of role/industry/tenure — never at the individual level.

Pro Tier: Your data does not contribute to benchmarks. We will also remove your historical contributions from active benchmark calculations going forward.

4. Sharing Your Information

We do NOT sell your data. Period. Under any subscription tier.

Service providers: We share data with vendors who help us operate the Service, under strict confidentiality agreements:

• Hosting: Supabase (database), Netlify (web hosting)
• Payments: Stripe
• Email: [Vendor TBD] (transactional email)
• Analytics: [Privacy-respecting vendor TBD]
• Advertising (Free Tier only): [Vendor TBD]

Legal disclosures: We may disclose your information if required by law (subpoenas, court orders, government requests). We will notify you to the extent legally permitted.

With your consent: We may share your information for purposes not described above only if you have given explicit consent.

5. Data Security

We implement technical and organizational measures to protect your data:

• Encryption in transit (TLS) and at rest (AES-256)
• Access controls limiting who can view user data internally
• Regular security audits and dependency updates
• Secure password hashing (bcrypt or equivalent)

No system is 100% secure. In the event of a data breach, we will notify affected users in accordance with applicable law.

6. Your Privacy Rights

All users: Access your data, correct it, export it as JSON, delete your account, and opt out of marketing emails anytime through account settings.

California residents (CCPA/CPRA): Right to know what we collect, request deletion, opt out of "sale" or "sharing" of personal information (note: California's "sharing" definition is broad and may include free-tier ads), limit use of sensitive personal information, non-discrimination for exercising rights. Contact privacy@repfolio.ai to exercise rights.

EU/EEA/UK residents (GDPR): Right to access, rectify, erase, restrict, or object to processing; data portability; withdraw consent; lodge complaints with a supervisory authority. Our legal bases include contract performance, legitimate interests, consent, and legal obligations.

7. Cookies and Tracking

We use cookies for:

• Essential: authentication, security, core functionality (cannot be disabled)
• Preferences: remembering your settings
• Analytics: understanding how the Service is used (privacy-respecting providers only)
• Advertising (Free Tier): serving ads (no personalized retargeting based on career data)

8. Data Retention

• Active accounts: Data retained as long as your account is active
• After deletion: Data deleted within 30 days, except where retention is required by law
• Backups: Data may persist in encrypted backups for up to 90 days before being permanently purged
• Aggregated data: May be retained indefinitely as it cannot be linked back to you

9. International Data Transfers

RepFolio operates from the United States. If you access the Service from outside the U.S., your data will be transferred to and processed in the U.S. We rely on appropriate safeguards (Standard Contractual Clauses) for international transfers where required by law.

10. Children's Privacy

The Service is not directed to or intended for use by anyone under 18. We do not knowingly collect data from minors. If we learn we have collected such data, we will delete it.

11. Changes to This Policy

We may update this Privacy Policy from time to time. Material changes will be communicated by email and in-Service notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
